"The Intended Use" means using the Service to assist with the management of equestrian stables, including storing information in connection with the management, wellbeing and performance of horses.
"User", "you", "your" means a person who has created an account to use the Service.
"Stable" means a stable account within the Service, owned by one User (the Owner) and optionally shared with team members invited by the Owner.
"Content" means data, text, images, files and other material that Users upload to or generate within the Service.

Acceptance of these Terms

Please read these Terms of Use carefully before using the Service. By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not use the Service.

These Terms govern all use of the Service. We may update these Terms from time to time. We will post the updated version on this page and update the "effective date" above. Material changes that affect your rights will be notified to you by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. You should check this page periodically.

Eligibility and Account Registration

To use the Service you must be at least 16 years old, legally able to enter into this agreement, and provide accurate registration information: a real name, a valid email address, and a password. By creating an account you confirm that the information you provide is accurate, complete, and current, and that you are legally entitled to enter into these Terms.

Account Security and Responsibility

You are responsible for keeping your account credentials secure, and for all activity that occurs under your account. You agree to notify us promptly at support@stables.cloud of any unauthorised use of your account or any other suspected breach of security. We will not be liable for any loss arising from your failure to comply with this section.

We take reasonable steps to protect the security of accounts, but cannot guarantee that all unauthorised access will be prevented. You should access the Service only from secure environments.

Use of the Service — Acceptable Use

You agree to use the Service only for the Intended Use, and not to:

  • Use the Service for any purpose that is unlawful or prohibited by these Terms;
  • Store, upload, or distribute content that is unrelated to the Intended Use, illegal, harmful, harassing, defamatory, infringing, or in breach of any third party's rights;
  • Attempt to interfere with, disrupt, reverse-engineer, decompile, scrape, or otherwise abuse the Service or the infrastructure that supports it;
  • Use automated means (bots, scrapers) to access the Service except as expressly permitted by us in writing;
  • Share account credentials with anyone outside your stable's invited team, or maintain multiple accounts to circumvent any usage limits or restrictions;
  • Use the Service to send unsolicited communications, spam, or any form of malware.

If we determine in our reasonable judgement that you have breached this section, we may suspend or terminate your account, remove offending content, and (in serious cases) report the matter to relevant authorities. Where reasonable, we will give you notice and an opportunity to remedy the breach before any termination.

To keep your account active we need a valid email address for the Owner of each Stable so we can reach them about important Service or security issues. If we lose contact with the Owner of a Stable, we reserve the right to suspend that Stable.

Subscriptions, Billing and Cancellation

The Service is offered in both free and paid subscription tiers, as set out on our Service Plans page. The applicable price, billing cycle, trial period and feature set are those in force at the time you subscribe (or, where applicable, at each automatic renewal of the subscription).

Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annually depending on the plan) until cancelled. You will be charged the then-current price for the same plan on each renewal date.

Cancellation. You can cancel your subscription at any time from your account settings. After cancellation you will continue to have access to your paid features until the end of your current billing period; you will not be charged again at the next renewal.

Pricing changes. If we change the price of an existing plan, we will give you at least 30 days' notice by email before the change takes effect on your subscription. The new price applies from your next renewal after the notice period.

Payment processing. If you subscribe to a paid plan, card payments are processed by Stripe Payments Europe Ltd. We do not store your full card details on our systems. By subscribing you agree to Stripe's terms of service and authorise Stripe to charge your nominated payment method for the applicable subscription fees, including renewals, until the subscription is cancelled.

Failed payments. If a renewal payment fails, we will attempt to take payment again for a short grace period. During the grace period your access continues. If we are unable to take payment within that period, your account will be downgraded to the free tier and Pro features will become unavailable until a payment method is provided.

Cooling-off period (UK and EU consumers). Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, consumers in the UK normally have 14 days to cancel a distance contract. Because the Service is a digital service that you begin using immediately on subscription, you expressly agree — by starting your subscription — that we begin providing the Service to you immediately, and that you waive your statutory right to cancel within the 14-day period. Equivalent rights apply for EU consumers under the EU Consumer Rights Directive and are waived on the same basis.

Refunds. Subscriptions are non-refundable once a billing period has started, except as set out in our Refund Policy, which is incorporated into these Terms.

Your Content and Data

You retain ownership of the Content you upload to the Service. By uploading Content you grant the Company a non-exclusive, worldwide, royalty-free licence to host, store, display, transmit, back up, and otherwise process that Content solely to provide the Service to you and your team. This licence ends when you remove the Content or close your account, except to the extent that we may retain backups for a short period (see Data Retention in our Privacy Policy).

You warrant that you have all necessary rights to upload the Content, and that it does not infringe any third party's rights, breach any applicable law, or fall outside the Intended Use.

We may remove or refuse to display Content that we reasonably consider to breach these Terms.

Where a Stable is shared between an Owner and invited team members, operational data entered into the Stable (horse records, treatment notes, schedules, contacts) belongs to the Owner of the Stable. Team members may enter and view this data while they remain in the team, but it is not their personal property to remove. If a team member leaves a Stable, the data remains with the Stable. See the Privacy Policy for further detail on data on account closure.

Termination

You may close your account at any time via your account settings or by emailing support@stables.cloud. On closure, your personal data is removed from our active systems as described in our Privacy Policy; if you were the Owner of a Stable, that Stable and its operational data are also removed (subject to a short retention period for backups and audit). If you were a team member in someone else's Stable, your personal data is removed but the Stable's data remains with its Owner.

We may suspend or close your account if you materially breach these Terms, if your account is inactive for an extended period and we cannot reach you, or if we are required to do so by law. Where reasonable we will give you notice first.

Intellectual Property

These Terms do not transfer any of the Company's intellectual property to you. All rights in the Service, including its software, designs, product names, company names, trademarks, trade names, service marks, and logos belong exclusively to the Company or our respective licensors. Your right to use the Service is a personal, non-transferable, revocable licence, granted for as long as your account is active and in good standing.

Service Availability

We aim to make the Service available continuously, but we do not guarantee uninterrupted availability. The Service may occasionally be unavailable due to scheduled maintenance, software updates, or factors beyond our reasonable control. See our Service Levels page for current operational targets. We do not offer formal Service Level Agreements at present.

Disclaimers

The Service is provided "as is" and "as available". The Service is an aid to stable management and record-keeping; it is not a substitute for professional veterinary, equine, or other specialist advice. You should always seek qualified professional guidance for decisions affecting the health, welfare, or safety of horses. We make no warranty as to the accuracy of any Service feature or how long data is retained, and shall not be liable for any decisions you make in reliance on the Service.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its suppliers, and its licensors shall not be liable under any theory of contract, negligence, strict liability, or any other legal or equitable principle for: (i) any indirect, special, incidental, or consequential damages; (ii) interruption of use, loss or corruption of data; or (iii) any matter beyond our reasonable control, including but not limited to acts of God, government action, terrorism, natural disaster, pandemic, labour conditions, infrastructure failures of third parties (including cloud, payment, and email providers), or sustained power or network outages.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable consumer law (including the Consumer Rights Act 2015 in the UK).

Data Protection

Our handling of personal data is described in full in our Privacy Policy, which forms part of these Terms. Please read it carefully — it covers what data we collect, why, who we share it with (notably Stripe for payments and AWS for hosting), how long we keep it, and your rights under UK GDPR and EU GDPR.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the law of England and Wales.

The parties agree to use reasonable efforts to resolve any dispute through friendly negotiation. If a dispute is not resolved by negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales. Nothing in this section prevents a consumer from bringing a claim in the courts of the country in which they are resident, where local consumer law gives them that right.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the "effective date" at the top. Material changes that affect your rights will be notified to you by email. Significant changes will not take effect for an existing paid subscription before the start of your next billing cycle.
